The store, website, and related offerings are collectively referred to as the “Services.”
Bikes Make Me Happy is powered by Shopify, which enables us to provide the Services to you.
These Terms and Conditions, also referred to as the “Terms of Service” or “Terms,” together with any policies referenced herein, describe your rights and responsibilities when you access or use the Services.

To access or use certain portions of the Services, including purchasing products, you may be asked to provide information such as your name, email address, billing information, payment information, and shipping information. You represent and warrant that all information you provide is accurate, current, and complete and that you have the legal right to provide that information.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. We make reasonable efforts to display and describe our products accurately. However, colors, dimensions, placement, texture, and overall product appearance may vary slightly from what appears on your screen because of device displays, screen settings, manufacturing processes, materials, and other factors.
We do not guarantee that the appearance or quality of a product will be identical to its photograph, mockup, rendering, or other depiction on the Services. These limitations do not affect any rights or remedies that cannot legally be excluded.
Product descriptions, availability, designs, specifications, and pricing may be changed without notice. We reserve the right to discontinue a product at any time and to limit the quantities of products available to any person, household, geographic region, or jurisdiction, subject to applicable law.
Certain products may be manufactured, printed, fulfilled, or shipped by third-party service providers. Reasonable variations resulting from production or fulfillment processes are not necessarily defects.
SECTION 3 — ORDERS
When you submit an order, you are making an offer to purchase the products listed in that order. We reserve the right to accept, decline, limit, or cancel an order for legitimate business reasons, including product unavailability, suspected fraud, pricing or description errors, payment problems, shipping restrictions, or suspected violation of these Terms.
An automated order confirmation acknowledges that we received your order but does not necessarily constitute final acceptance. Your order is accepted when payment has been successfully processed and we confirm that the order has entered fulfillment or has otherwise been accepted.
Please review your order carefully before submitting it. Once an order has been accepted or entered production or fulfillment, we may be unable to change or cancel it. If we decline, modify, or cancel an order, we will make reasonable efforts to contact you using the email address, billing information, shipping information, or telephone number supplied with the order.
Returns, refunds, exchanges, damaged-product claims, and cancellations are governed by our Returns & Refunds Policy, which is incorporated into these Terms by reference.
You represent that purchases are being made for personal or household use, including use as gifts, and not for unauthorized commercial resale, redistribution, or export.
SECTION 4 — PRICES, PAYMENTS, AND BILLING
Prices, discounts, promotions, and product availability may change without notice. The price charged for a product will generally be the price displayed when the order is submitted, subject to correction of errors as permitted by law.
Unless expressly stated otherwise, listed prices do not include applicable taxes, shipping charges, handling charges, customs duties, import fees, or other governmental charges. Applicable charges will be displayed during checkout when reasonably available.
Prices offered through the Services may differ from prices offered through third-party marketplaces, promotional channels, events, or other sales platforms. Promotions may be subject to separate rules. If the terms of a specific promotion conflict with these Terms, the specific promotion terms will control for that promotion.
You agree to provide accurate, current, and complete purchase, payment, billing, shipping, and account information. You agree to update your information promptly when necessary so that we can complete transactions and contact you regarding your purchases.
You represent and warrant that payment information supplied by you is accurate, that you are authorized to use the selected payment method, and that charges incurred in connection with your order will be honored by the applicable financial institution or payment provider.
If an obvious pricing, discount, product-description, or availability error occurs, we may correct the error and, where permitted by law, reject or cancel the affected order. If we cancel an order after payment has been collected, we will issue an appropriate refund.
SECTION 5 — PRODUCTION, SHIPPING, AND DELIVERY
Many of our products are made to order and are manufactured, printed, packaged, and fulfilled by third-party fulfillment providers. Accordingly, each order may require a production and fulfillment period before it is shipped.
Processing, production, fulfillment, shipping, and delivery timeframes displayed through the Services, at checkout, in an order confirmation, or in our Shipping Policy are estimates unless expressly identified as guaranteed. Estimated delivery time generally includes both the time required to produce and fulfill the order and the time required for the shipping carrier to deliver it after shipment.
Production and delivery times may vary depending on the product ordered, product availability, order volume, fulfillment location, destination, shipping method, carrier operations, weather, customs processing, seasonal demand, service interruptions, and other circumstances outside our reasonable control. Orders containing multiple products may be produced or shipped separately and may arrive in more than one package.
We will make reasonable efforts to ship orders within the timeframe stated through the Services, in our Shipping Policy, or in the applicable order confirmation. If we learn that an order cannot be shipped within the stated timeframe, we will provide notice and any delay, cancellation, or refund options required by applicable law.
Shipping and delivery dates are not guaranteed unless expressly stated otherwise. We are not responsible for delivery delays caused solely by shipping carriers, customs authorities, incorrect or incomplete customer information, or circumstances outside our reasonable control. However, nothing in these Terms limits any consumer right or remedy that cannot legally be waived.
You are responsible for providing a complete and accurate shipping address. Additional expenses caused by an incorrect or incomplete address may be charged to you where permitted by law.
Claims involving products that are lost, damaged, incorrectly delivered, or returned to the sender will be handled according to our Shipping Policy, Returns & Refunds Policy, applicable carrier and fulfillment-provider procedures, and applicable law.
SECTION 6 — INTELLECTUAL PROPERTY
The Services, including their trademarks, trade names, branding, text, displays, graphics, photographs, illustrations, designs, videos, audio, software, layout, selection, and arrangement, are owned by or licensed to Bikes Make Me Happy and are protected by United States and international copyright, trademark, and other intellectual-property laws.
User-generated content remains subject to the rights of its original owner but may be licensed to us as described in Section 11.
These Terms permit you to access and use the Services solely for your personal, lawful, and noncommercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, sell, license, or transmit materials from the Services without our prior written authorization, except where expressly permitted by law.
Nothing in these Terms grants you a license or other right under any patent, trademark, copyright, trade secret, or other intellectual property belonging to Bikes Make Me Happy, Shopify, or another party except as expressly stated.
The Bikes Make Me Happy name, logo, product names, designs, graphics, artwork, and slogans are trademarks or other intellectual property of Bikes Make Me Happy, LLC or its licensors. They may not be used without our prior written permission.
Shopify’s names, logos, product names, service names, designs, and slogans are trademarks of Shopify. Other names, logos, products, services, and designs appearing through the Services belong to their respective owners.
All rights not expressly granted are reserved.
SECTION 7 — OPTIONAL TOOLS
The Services may provide access to tools, integrations, applications, or features offered by third parties. We may not monitor, control, or have input into those third-party tools.
Except where otherwise required by law, access to optional third-party tools is provided “as is” and “as available,” without warranties, representations, conditions, or endorsement by Bikes Make Me Happy.
Your use of optional third-party tools is at your own risk and discretion. You are responsible for reviewing and accepting the terms and privacy practices of the applicable provider before using such tools.

SECTION 9 — RELATIONSHIP WITH SHOPIFY
Bikes Make Me Happy is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases made through our store are made directly between you and Bikes Make Me Happy.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Bikes Make Me Happy, including any injury, damage, or loss resulting from purchased products or services.
You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to purchases and transactions with Bikes Make Me Happy, except to the extent such a release is prohibited by applicable law.

We may monitor, edit, decline to publish, or remove Feedback that we reasonably determine is unlawful, fraudulent, threatening, abusive, defamatory, obscene, misleading, infringing, offensive, or otherwise inconsistent with these Terms.
Feedback may not violate another party’s copyright, trademark, privacy, publicity, contractual, personal, or proprietary rights. Feedback may not contain unlawful, abusive, defamatory, obscene, fraudulent, or malicious material, computer viruses, malware, or harmful code.
You may not submit Feedback using a false identity, impersonate another person, or misrepresent the origin or authenticity of Feedback. You are responsible for the Feedback you provide and its accuracy.
SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS
Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, images, pricing, promotions, discounts, shipping charges, transit times, availability, or other matters.
We reserve the right to correct errors, inaccuracies, and omissions and to update information at any time. Where permitted by law, we may modify or cancel an affected order, including after it has been submitted.
If an order is canceled after payment has been processed, we will issue an appropriate refund.

You may access and use the Services only for lawful purposes. You may not use the Services directly or indirectly for unlawful, fraudulent, abusive, malicious, deceptive, or unauthorized purposes.

You may not upload or transmit viruses, malicious code, or other harmful material; reproduce, duplicate, copy, extract, sell, resell, or exploit unauthorized portions of the Services; collect or track personal information belonging to others; engage in phishing, pharming, pretexting, scraping, or unauthorized data collection; or bypass or circumvent security, access controls, robot-exclusion measures, or other technical restrictions.
You may not use bots, spiders, automated extraction tools, artificial-intelligence agents, or other automated or manual processes to access, scrape, reproduce, or interact with the Services except as expressly authorized by us or permitted under Section 14.
We may suspend, restrict, disable, or terminate access to the Services if we reasonably determine that these Terms have been violated.

This section applies when you deploy, enable, direct, or allow an autonomous or semi-autonomous software agent to access, use, or interact with the Services. An “Agent” means software or a service that takes action on behalf of or at the instruction of a person or entity without continuous direct human supervision.
An Agent may not access or interact with the Services unless it identifies itself and complies with this section. An Agent must also cease accessing the Services when requested by us.
We may use technical or other reasonable measures to limit or control whether and how Agents access or interact with the Services.
An Agent must identify itself in HTTP or HTTPS requests and disclose its name through an appropriate user-agent string; must not conceal or misrepresent that its activity is automated; must not mimic human behavior for the purpose of avoiding detection; must not complete or circumvent CAPTCHAs or similar measures; must respond truthfully when asked whether an interaction is automated; and must not bypass measures designed to block, restrict, modify, or control automated access.
SECTION 15 — SUSPENSION AND TERMINATION
We may suspend or terminate your account or access to all or part of the Services when we reasonably believe you have violated these Terms, engaged in fraud or unlawful conduct, misused the Services, threatened the security or operation of the Services, or created legal or operational risk.
You remain responsible for amounts properly due through the effective date of termination.
Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, Feedback, disclaimers, limitations of liability, indemnification, severability, governing law, privacy, and outstanding payment obligations.
SECTION 16 — DISCLAIMER OF WARRANTIES
Information presented through the Services is provided for general informational purposes. Although we make reasonable efforts to provide accurate information, we do not guarantee that all information will always be complete, accurate, current, or suitable for every purpose.
To the fullest extent permitted by law, and except for any express warranties provided by Bikes Make Me Happy, the Services and products offered through the Services are provided “as is” and “as available,” without express or implied warranties or conditions, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, or noninfringement.

To the fullest extent permitted by law, Bikes Make Me Happy, LLC, its affiliates, if any, and its members, directors, officers, employees, agents, contractors, service providers, partners, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the Services or products purchased through the Services, including lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar losses.
This limitation applies regardless of whether a claim is based in contract, tort, negligence, strict liability, statute, or another legal theory and regardless of whether the possibility of such damages was disclosed.
To the fullest extent permitted by law, our aggregate liability arising from a particular product or transaction will not exceed the amount you paid to Bikes Make Me Happy for the product or transaction giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other matters for which applicable law prohibits limitation.
SECTION 18 — INDEMNIFICATION
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Bikes Make Me Happy, LLC, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, judgments, costs, and reasonable attorneys’ fees arising from your material breach of these Terms, your violation of applicable law or another party’s rights, or your unlawful or unauthorized use of the Services.
We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve you of an obligation except to the extent you are materially prejudiced by the delay.
We may control the defense and settlement of an indemnifiable claim, but we will not agree to a settlement that imposes a nonmonetary obligation on you without your reasonable consent. You agree to provide reasonable cooperation in the defense of such a claim.
SECTION 19 — SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the affected provision will be severed. The remaining provisions will continue in full force and effect.
SECTION 20 — WAIVER AND ENTIRE AGREEMENT
Our failure to exercise or enforce a right or provision under these Terms does not constitute a waiver of that right or provision.
These Terms, together with our Privacy Policy, Returns & Refunds Policy, Shipping Policy, and other policies or rules posted through the Services, constitute the entire agreement between you and Bikes Make Me Happy concerning your use of the Services and supersede prior or contemporaneous communications, representations, proposals, or agreements concerning the same subject matter.
Ambiguities in these Terms will not automatically be construed against the party that drafted them.
SECTION 21 — ASSIGNMENT
You may not transfer, assign, delegate, or license these Terms or your rights or obligations under them without our prior written consent. An attempted unauthorized transfer or assignment is void.

These Terms and any separate agreement through which we provide Services are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law principles.
Subject to any rights or forums that cannot legally be waived, you and Bikes Make Me Happy consent to the personal jurisdiction of the state and federal courts located in New Jersey for disputes arising from or relating to these Terms or the Services.
Nothing in this section deprives a consumer of mandatory protections or rights available under the laws of the consumer’s place of residence when those protections or rights cannot legally be waived.

Headings are included for convenience and organization only and do not limit or otherwise affect the meaning or interpretation of these Terms.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.
